Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the reOtter application and website (the “Service”), provided by TextRetailer, Inc.(“reOtter,” “we,” “us”). By installing or using the Service, you (“you,” “Merchant”) agree to these Terms. If you do not agree, do not use the Service.

1. The Service

reOtter is a retention and reorder analytics application for Shopify stores. It analyzes your store’s order history to produce reorder/replenishment insights and to power merchant-configured reorder reminders and a reorder storefront. Features may change, improve, or be discontinued over time.

2. Accounts and eligibility

You must have an active Shopify store and the authority to bind your business to these Terms. You are responsible for activity under your account and for maintaining the security of your Shopify and reOtter access.

3. Merchant responsibilities

You agree that you will:

  • Use the Service in compliance with all applicable laws and with Shopify’s terms and policies;
  • Obtain and maintain all necessary rights, consents, and disclosures from your customers for the collection and use of their data (including for any marketing or reorder communications you send through your connected channels);
  • Be solely responsible for the content, timing, and lawfulness of communications you configure and send to your customers; and
  • Provide accurate account information.

4. Acceptable use

You will not: misuse the Service; attempt to access it in an unauthorized way; interfere with its operation or security; reverse-engineer it except as permitted by law; or use it to send unlawful, deceptive, or unsolicited communications.

5. Fees

Paid plans, current pricing, and what each plan includes are described at reotter.com. Subscription fees are billed in advance on a recurring monthly or annual basis through Shopify’s billing system, based on the plan you select. During any beta or early-access period we may offer the Service at no charge or at a discount; those arrangements may change when the Service becomes generally available. Except as required by law, fees are non-refundable. We may change our pricing on notice, with changes taking effect at the start of your next billing cycle.

6. Third-party services

The Service integrates with Shopify and may integrate with third-party providers (such as your email/SMS platforms and analytics tools). Your use of those services is governed by their own terms, and we are not responsible for them.

7. Data and privacy

Our handling of personal data is described in our Privacy Policy, incorporated by reference. As between the parties, you are the controller of your store and customer data and we process it on your behalf as described there and in our Data Processing Addendum, where one has been executed.

8. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You retain all rights in your own data.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted or error-free, or that any analytics, forecasts, or insights will be accurate or produce any particular result. Reorder forecasts and recommendations are estimates, not guarantees.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, reOtter WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will indemnify and hold harmless reOtter from claims arising out of your use of the Service, your data, your communications with your customers, or your breach of these Terms, except to the extent caused by reOtter.

12. Term and termination

These Terms apply while the Service is installed. You may stop using the Service at any time by uninstalling it from your Shopify admin. We may suspend or terminate access for breach or to comply with law. On termination, your data is handled as described in the Privacy Policy (including the shop/redact purge).

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted with an updated date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Iowa.
